Please read carefully before enrolling. These Terms of Service (“Terms”) form a binding contract between you and Solix Health. They include an automatic-renewal payment authorization, a 3-month minimum commitment, an arbitration clause, and a class-action waiver. 1. About Solix Health and the Program

Solix Health (“Solix Health,” “we,” “our,” or “us”) is a medical practice with offices in Edison, Toms River, and Bridgewater, New Jersey. Our Weight Loss Program (the “Program”) provides medically supervised weight management services delivered primarily via telehealth, including evaluation, prescription management when clinically appropriate, lifestyle counseling, and ongoing monitoring. By enrolling in the Program, you (“you,” “Patient”) agree to these Terms.

2. Eligibility

To enroll in the Program you must:

Clinical eligibility for any specific treatment, including any prescription, is determined solely by your treating provider during the consultation. Enrollment in the Program does not entitle you to any particular medication.

3. Nature of the Service — Medical Care Only

The Program is a medical service. Your $100 initial consultation fee and $100 monthly fee pay for clinical services rendered by Solix Health and its licensed providers, including:

4. Telehealth Consent

You consent to receive care via telehealth (synchronous video and asynchronous secure messaging) in accordance with the New Jersey Telemedicine and Telehealth Act, N.J.S.A. 45:1-61 et seq. You acknowledge:

5. Provider–Patient Relationship

Enrollment establishes a provider–patient relationship between you and a New Jersey–licensed provider associated with Solix Health. The provider exercises independent medical judgment. Solix Health does not guarantee that any particular provider will treat you, that you will be prescribed any specific medication, or that any treatment will be approved by your insurance.

6. Medications — Not Included

If your provider prescribes a medication (including but not limited to GLP-1 receptor agonists such as semaglutide or tirzepatide, branded products such as Ozempic®, Wegovy®, Mounjaro®, or Zepbound®, or compounded versions thereof), you are solely responsible for obtaining and paying for that medication directly from a pharmacy. Solix Health does not sell or supply medication. Pricing, availability, and ingredients are determined by the dispensing pharmacy. Solix Health makes no representation about medication price, supply, insurance coverage, or formulation.

7. Lab Tests — Not Included

If lab work is ordered, the laboratory bills you (or your insurer) directly. Lab fees are not included in the Program fee.

8. Fees, Auto-Renewal, and 3-Month Minimum

Pricing summary (read carefully):

Fees are exclusive of any applicable taxes, which will be added where required. Your provider may decline to continue prescribing or care if clinically inappropriate; in that event, billing of the monthly fee continues for the remainder of the 3-month minimum unless Solix Health terminates the Program in writing.

9. Cancellation Policy and Refunds

  1. Cancellation method. You may cancel future monthly billing at any time by emailing billing@solixhealth.com, by submitting a written request through the Patient Portal, or by calling any Solix Health office. Cancellations are effective on receipt; we will send a confirmation by email within 2 business days.
  2. Cancellation during the 3-month minimum. If you cancel before three (3) monthly fees have successfully been charged, you authorize Solix Health to charge your payment method on file in a single final transaction for the remaining unpaid portion of the 3-month minimum. This balance is liquidated damages reasonably calculated to compensate Solix Health for clinical capacity reserved on your behalf.
  3. Initial consultation fee. The $100 consultation fee is non-refundable once the consultation has been scheduled or has occurred. If you cancel before scheduling and within seven (7) days of payment, the consultation fee will be refunded on written request.
  4. Refunds for already-paid monthly cycles. Monthly fees, once charged, are non-refundable. We do not pro-rate partial months.
  5. Termination by Solix Health. Solix Health may terminate your enrollment at any time for clinical reasons, non-payment, abusive behavior, fraudulent information, or violation of these Terms. If we terminate for clinical reasons during the 3-month minimum, no further fees will be charged.

10. Payment Authorization — New Jersey Auto-Renewal Disclosure

This section is a conspicuous disclosure required under the New Jersey Automatic Renewal Law, N.J.S.A. 56:8-2.31 et seq.

YOU ARE ENROLLING IN AN AUTOMATICALLY RENEWING SUBSCRIPTION. By clicking “Continue to Secure Payment” (or any equivalent enrollment button) you authorize Solix Health and its payment processor (Stripe Inc.) to charge your designated payment method:

  1. $100.00 USD today as the initial consultation fee; and
  2. $100.00 USD on a recurring monthly basis, beginning approximately 30 days after the initial charge, until you cancel.

You agree to a minimum of three (3) monthly charges. After the third monthly charge, the subscription continues to renew at $100/month until canceled.

To cancel, email billing@solixhealth.com, submit a request through the Patient Portal, or call any Solix Health office. We will provide an acknowledgment of cancellation by email.

Weight loss results vary substantially. Solix Health does not promise, warrant, or guarantee any specific weight loss, health outcome, or freedom from side effects. Outcomes depend on adherence, individual physiology, and many factors outside our control.

13. FDA Status of Compounded Medications

Compounded medications (including compounded semaglutide or tirzepatide) are not approved by the U.S. Food and Drug Administration. The FDA has not reviewed compounded versions for safety, efficacy, or quality. If your provider prescribes a compounded medication, you acknowledge that you are receiving a compounded product as permitted under federal and state pharmacy law and that the manufacturer of the FDA-approved counterpart has not endorsed the compounded product.

14. HIPAA & Privacy

Your protected health information is handled in accordance with the federal Health Insurance Portability and Accountability Act (HIPAA) and our Notice of Privacy Practices. Payment data is processed by Stripe Inc. under Stripe’s Privacy Policy; Solix Health does not see or store full card numbers.

15. Communications & Consent to Contact

By enrolling, you consent to receive transactional and clinical communications from Solix Health by email, SMS, telephone (including pre-recorded calls), and through the Patient Portal at the contact information you provide. Standard message and data rates may apply. You may opt out of non-clinical marketing messages by replying STOP or by emailing billing@solixhealth.com; opting out of clinical communications may interrupt your care.

16. Intellectual Property

The Program, the Solix Health website, all educational materials, treatment plans, and content provided to you are owned by Solix Health and licensed to you for personal, non-commercial use only. You may not republish, resell, or redistribute Program materials.

17. Disclaimer of Warranties

EXCEPT FOR PROFESSIONAL MEDICAL CARE PROVIDED BY LICENSED PROVIDERS (WHICH IS GOVERNED BY THE APPLICABLE STANDARD OF CARE), THE PROGRAM AND THE WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLIX HEALTH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AS THEY APPLY TO THE NON-CLINICAL ASPECTS OF THE PROGRAM.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SOLIX HEALTH AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY. THE TOTAL AGGREGATE LIABILITY OF SOLIX HEALTH FOR ANY CLAIM RELATING TO THE NON-CLINICAL ASPECTS OF THE PROGRAM IS LIMITED TO THE AMOUNTS PAID BY YOU TO SOLIX HEALTH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Nothing in these Terms limits liability for medical malpractice or professional negligence beyond the limits permitted by New Jersey law.

19. Indemnification

You agree to indemnify and hold harmless Solix Health from claims arising out of (a) your breach of these Terms; (b) any inaccurate medical or identifying information you provide; or (c) your misuse of any prescribed medication.

20. Dispute Resolution — Arbitration & Class-Action Waiver

Read carefully — this section affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to the non-clinical aspects of these Terms (including billing disputes) shall be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Middlesex County, New Jersey, or by Zoom or telephone at the arbitrator’s discretion. Either party may seek individual injunctive relief in court. You and Solix Health each waive any right to a jury trial and any right to participate in a class action, class arbitration, or representative proceeding. If a court rules the class waiver unenforceable, the entire arbitration clause is null and the dispute will proceed in court.

Carve-out for medical malpractice and personal injury. Claims for medical malpractice or bodily injury are not subject to this arbitration provision and shall be governed by New Jersey law and venue.

30-day opt-out. You may opt out of arbitration by emailing legal@solixhealth.com within 30 days of enrollment with the subject line “Arbitration Opt-Out.”

21. Governing Law & Venue

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law principles. Subject to Section 20, the exclusive venue for any litigation is the state and federal courts located in Middlesex County, New Jersey, and you consent to personal jurisdiction there.

22. Changes to These Terms

We may update these Terms from time to time. Material changes that affect your fees, the auto-renewal, or the cancellation policy will be sent to you by email at least 30 days before they take effect, in accordance with the New Jersey Automatic Renewal Law. Continuing the Program after the effective date constitutes acceptance.
